Representative Transactions:

  • Closed a complex $174,000,000 loan transaction for joint venture development team and institutional equity partner in September 2008 while the US banking industry was in the midst of turmoil and uncertainty. The financing is enabling the developer to construct a mixed-use town center in Prince George’s County, Maryland. Our attorneys helped identify solutions to address lender concerns while maintaining borrower protections. We negotiated various joint venture agreements and complex operating agreements within this transaction to document the obligations of each developer, an institutional equity partner and five participating lenders.
  • Negotiated sophisticated development agreements between developer clients and Washington Metropolitan Area Transit Authority and the Maryland Department of Transportation for transit-oriented mixed-use development projects.
  • Acquisition and redevelopment of a 350,000 square foot vertical mall in downtown Silver Spring, Maryland including Marshalls, Burlington Coat Factory and Gold’s Gym.
  • Acquisition and redevelopment of a $7,000,000 office building in Annapolis, Maryland.
  • Redevelopment of a regional mall in Baltimore, Maryland into a 500,000 square foot power retail center including Sam’s Club, Wal-Mart, Home Depot, Petco and Office Depot.
  • Multitude of sale and lease transactions for Kimco Realty Corporation, the largest strip shopping center Real Estate Investment Trust in the US.

  • Petrie Ross Ventures, LLC – Our attorneys provide corporate, transactional and leasing services for this Annapolis, Maryland based regional developer of urban and suburban mixed use projects.
  • Safeway Inc. – Our attorneys represent this national grocer in the acquisition of supermarket and gas station sites, sales of surplus properties and small shop leasing.
  • Kimco Realty Corporation – Our attorneys represent this national REIT in lease and joint venture transactions in the Mid-Atlantic Region wherein Kimco owns more than 175 properties.
  • Faison Enterprises, Inc. – Our attorneys negotiate anchor tenant leases for this developer of properties in the Eastern U.S.
  • DavCo Restaurants, Inc. – Our attorneys have provided all real estate legal services to Wendy’s largest franchisee since 1992.
  • Lowe Enterprises – Our attorneys negotiated the anchor tenant leases with Safeway Stores, Busboys and Poets, Logan Hardware and Results (fitness center tenant), prepared the form in-line lease and negotiated in-line leases with all tenants for the mixed use project known as City Vista in Washington, DC.
  • Ward Development Group, Inc. – Our attorneys represent this developer of commercial properties in Harford County, Maryland, in providing project leasing expertise, including leases with Wegmans, a regional bank and restaurants, and as borrower’s counsel in connection with a $7,000,000 Harford County recovery zone facility bond funded loan.
  • Carl M. Freeman Companies – Our attorneys represent this regional developer of resort, residential, retail and mixed use properties in leasing, sales, acquisition and financing matters.
